Welcome to Simply Wellness, operated by Vita Life Brands, LLC (“Simply Wellness,” “we,” “us,” or “our”). By accessing our website (the “Site”) or using our services and products in our clinics, you agree to these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Site or services.
1. Acceptance of Terms
By accessing our Site, purchasing products, or using our services (including in-person visits), you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, do not use our Site or services.
2. Changes to Terms
We may update these Terms at any time. Changes are effective immediately when posted on the Site. Continued use of the Site or services after changes means you accept the new Terms. We recommend reviewing these Terms periodically.
3. Eligibility
You must be at least 18 years old to use our Site or receive services at our clinics. By using our Site or services, you represent that you meet this requirement.

We reserve the right to refuse or terminate access to anyone at our sole discretion.

6. Not Insurance
Simply Wellness is not an insurer. Our services and products are not insurance products and are not substitutes for insurance coverage.
7. Appointment, Ordering, and Payments

All prices are listed in US dollars and are subject to change without notice.

Payment is due at the time of service unless otherwise agreed in writing.

Gift certificates, memberships, or promotional offers are subject to specific terms described below.
8. Late Cancellation / No-Show Policy

Missed appointments or late cancellations (less than 24 hours’ notice) may result in a cancellation fee as posted in our clinic or on our website.

Repeated no-shows may result in termination of service.
9. Memberships and Subscriptions
If you enroll in a membership or subscription plan:

Automatic Renewal: Unless canceled by you, memberships will automatically renew and your payment method will be charged accordingly.

Cancellation: You may cancel your membership by contacting us at inquiry@simplywellness.com. Cancellations take effect at the end of the current billing cycle.

Changes: We reserve the right to change membership pricing or benefits. We will notify you in advance of any material changes.
10. Gift Certificates and Promotions
Gift certificates and promotional offers are subject to additional terms:

No cash value; non-transferable; cannot be combined with other offers.

For new patients only unless otherwise specified.

One-time use, subject to medical eligibility and availability.

Expire three (3) months after issue unless otherwise noted.

Lost or stolen certificates will not be replaced.

We may end, modify, or discontinue any offer at our discretion.
11. Product and Medication Sales – No Refund Policy
ALL SALES OF PRODUCTS, MEDICATIONS, AND SUPPLEMENTS ARE FINAL ONCE YOU LEAVE THE CLINIC.
Due to health and safety regulations, we cannot accept returns or offer refunds for any medications, supplements, or wellness products after they have left our physical premises. Please review your purchase prior to leaving the clinic. If you have concerns about your product, notify staff before leaving.
12. Product and Service Information
We strive for accuracy, but do not warrant that product or service descriptions, pricing, or other content is complete, reliable, or error-free. We reserve the right to correct errors and update information at any time.

14. IV Therapy Consent and Patient Responsibilities

Informed Consent Required: All clients receiving intravenous (IV) therapy must sign a written informed consent form before beginning treatment. The consent will outline the potential benefits, risks (such as infection, vein irritation, bruising, allergic reaction, fluid overload, etc.), alternatives, and your right to ask questions or refuse treatment.

Risks and Responsibilities: You acknowledge and accept the inherent risks of IV therapy. You agree to provide accurate health information, notify staff of any adverse symptoms during or after your infusion, and follow all aftercare instructions.

Not a Substitute for Emergency Care: IV therapy is not appropriate for emergency medical conditions. If you feel unwell after leaving the clinic, seek immediate medical care.
15. No Guarantee of Results
You acknowledge that individual results from our treatments and services may vary. Simply Wellness does not guarantee specific outcomes or results. All therapies are provided as supportive or adjunct services and are not a substitute for primary medical care.
16. No Resale or Transfer of Prescription Products
Medications, injections, and prescription products dispensed by Simply Wellness are for your personal use only. You may not sell, transfer, or give any such products to another person. Doing so may violate federal or state law.
17. Intellectual Property
All content on our Site—including text, graphics, images, logos, and software—is owned by Vita Life Brands, LLC or our licensors, and is protected by copyright, trademark, and other laws. No content may be copied, reproduced, distributed, or used for any purpose without our express written permission.

You agree to indemnify, defend, and hold harmless Vita Life Brands, LLC (DBA Simply Wellness), its affiliates, employees, and agents from any claims, liabilities, damages, costs, or expenses (including attorneys’ fees) arising out of your use or misuse of the Site, services, products, or your violation of these Terms or applicable laws.
23. Dispute Resolution and Arbitration
You and Simply Wellness agree to resolve any disputes related to these Terms, the Site, or our services through binding arbitration on an individual basis. You waive the right to participate in class actions. Arbitration will be conducted in Salt Lake City, Utah under the rules of the American Arbitration Association. If arbitration is found unenforceable, disputes will be resolved exclusively in the state or federal courts of Salt Lake County, Utah.
24. Force Majeure
We are not liable for any failure or delay in performance due to events outside our reasonable control, including natural disasters, power outages, or government actions.
25. SMS Messaging, Electronic Communications, and Consent
By opting in to receive SMS messages from Simply Wellness (“we,” “us,” “our”), you agree to the following terms:

All product, company names, logos, and brands referenced on this Site are the property of their respective owners and used for identification purposes only. Use of these names, trademarks, and brands does not imply endorsement.

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
30. Entire Agreement
These Terms, together with any additional policies or guidelines posted on our Site, constitute the entire agreement between you and us regarding your use of the Site, products, and services.
